Qualcomm Gives Amazon $4 Billion in Participation Trophies

Qualcomm just handed Amazon warrants to buy $4 billion worth of its stock. Not cash. Not chips. Warrants. The financial equivalent of a gift card to your own restaurant.

Amazon gets the option to acquire equity in Qualcomm as part of an AI infrastructure deal. Qualcomm gets to tell investors it landed Amazon as a data center customer. Everyone pretends this means Qualcomm will dethrone Nvidia in the AI chip business. Nvidia sells $47 billion worth of data center chips per quarter. Qualcomm sells phone processors to companies that can't afford Apple's suppliers.

The warrant structure tells you everything. If Qualcomm's chips were actually competitive, Amazon would just buy them. Instead, Amazon negotiated the right to buy stock if this somehow works out. It's like paying your contractor in lottery tickets.

Retail traders will see "Amazon" and "AI" in the same headline and assume Qualcomm cracked the code. They will buy calls. They will post rocket emojis. They will not ask why a data center deal requires $4 billion in equity compensation. They will definitely not ask why Amazon needs warrants to make this worth their time.

Qualcomm has been trying to break into data centers for a decade. They keep announcing partnerships. They keep issuing press releases about AI. They keep not being Nvidia. This deal will generate one quarter of revenue guidance beats and six quarters of "we're still investing in the data center opportunity" excuses.

Amazon now owns a stake in its own supplier, which means Qualcomm's margins are f*cked before a single chip ships.
